Security Subcontractor Agreement Outline

  4. 4.Define non-solicitation of both clients and officers, with a clear term.
  5. 5.Have counsel draft the agreement from this outline before you sign it.

Terms to cover

  • Both parties' license numbers and a duty to maintain them in good standing
  • Independent contractor relationship and no authority to bind
  • Scope: which sites, which hours, which services
  • Rates, invoicing, and payment terms between the parties
  • Insurance requirements, limits, and additional insured status
  • Indemnification flowing to the prime operator
  • Officer standards: screening, training, uniform, and appearance
  • Reporting: DARs and incident reports delivered on the prime's format and timeline
  • Incident notification timeline to the prime operator
  • Confidentiality of client site information
  • Non-solicitation of the prime's clients and of officers, with duration
  • Right to remove any officer from the post without cause
  • Term, termination, and transition of coverage
  • Compliance with wage-and-hour law and proof of payroll practices
  • Governing law and dispute resolution

Before the first shift

  • License verified through the official lookup and screenshot saved with date
  • Certificate of insurance received and limits confirmed with your broker
  • Workers' compensation coverage verified
  • W-9 and vendor setup complete
  • Post orders delivered and acknowledged by the subcontractor
  • Escalation contacts exchanged and tested
