How to use it

  1. 1.Use this to scope the agreement, then have your attorney draft the actual document.
  2. 2.Attach the scope of work and rate sheet as exhibits so pricing can be updated without redlining the whole contract.
  3. 3.Define what happens on overtime, holidays, and emergency coverage before the first invoice, not after.
  4. 4.Make sure insurance requirements and indemnity language are reviewed by your broker as well as counsel.
  5. 5.Never start work on a verbal agreement — a signed short-form is better than a perfect unsigned one.

Clauses to cover

  • Parties, effective date, and the operator's PPO license number
  • Scope of services — attached as an exhibit, referencing post orders
  • Coverage schedule: posts, days, hours, and contracted hours per week
  • Rates by post type, plus overtime, holiday, short-notice, and special-event rates
  • Minimum billing increments and minimum call-out hours
  • Invoicing cycle, payment terms, late fees, and disputed-invoice procedure
  • Annual rate adjustment mechanism and wage-law pass-through
  • Change orders — how added or reduced coverage is authorized in writing
  • Term, renewal, and notice period for termination by either party
  • Insurance: types and limits carried, certificate delivery, additional insured status
  • Indemnification and limitation of liability
  • Independent contractor relationship and no-poach / hiring-away provision
  • Confidentiality and handling of site information and footage
  • Standard of care and scope limits — services are deterrence and observation, not a guarantee
  • Equipment, keys, and access credentials: issue, control, and return
